C. Gregory Shamoun represented a title company, two (2) of its closing agents, and two (2) attorneys, in defense of a civil fraud and RICO claim by a large bank relative to a portfolio of several hundred loans. The Plaintiff initially claimed damages in excess of $9 million. Within days of receiving partial summary judgment in favor of his clients, the case fully settled for a  “five figure” dollar amount, significantly less than defense cost estimates to proceed to trial. Mr. Shamoun was assisted by Dennis M. Holmgren and Brian K. Norman.

SN has been designated as one (1) of two (2) approved DFW law firms representing a major lender relative to its DFW based loan transactions. Brian K. Norman is leading the engagement. He is being assisted by Lisa C. Bozalis.

C. Gregory Shamoun and Brian K. Norman are representing the SPE Borrowers and public company guarantor in multiple simultaneously closing conduit loans, with aggregate loan proceeds of approximately $100 million, for the purchase of an entire developed major intersection in Dallas, Texas.  Dennis M. Holmgren, and Lisa C. Bozalis are assisting Messrs. Shamoun and Norman with the transaction.

Brian K. Norman and C. Gregory Shamoun represented SPE Borrowers in two (2) simultaneous conduit loans, with aggregate loan proceeds of approximately $9 million, relative to the purchase of three (3) commercial properties in Mississippi. Lisa C. Bozalis assisted Messrs. Norman and Shamoun with the transaction.

Brian K. Norman represented a national bank lender in a $4 million transaction by which the bank purchased an outstanding loan package from another lender to reduce the assigning lender’s exposure in a portfolio of loans to a major real estate development company. Lisa C. Bozalis assisted Mr. Norman with the transaction.

C. Gregory Shamoun defended a major national health care company in a $3.5 million breach of contract case. They received summary judgment in favor of their client in the case.

Brian K. Norman represented a national bank lender in a $6 million development construction loan relative to development of a single family residential development in North Dallas. Lisa C. Bozalis assisted Mr. Norman with the transaction.

Lisa C. Bozalis represented a Dallas real estate investor in the $10 million sale of a downtown property to a condominium development company. Brian K. Norman and C. Gregory Shamoun assisted Ms. Bozalis with the transaction.

Brian K. Norman and Lisa C. Bozalis represented an international chain of exclusive restaurants in negotiation and consummation of a $7.0 million minimum rent lease for its second Chicago-area location.

Brian K. Norman represented a national chain of steakhouses in negotiation and consummation of a $7.5 million minimum rent lease for a waterfront South Beach location. Lisa C. Bozalis assisted Mr. Norman with the transaction.

Brian K. Norman represented a chain of medical wellness clinics in a $3.0 million private securities offering pursuant to Regulation D, Section 4(6) of the 1933 Act, and the intrastate exemption. Lisa C. Bozalis assisted Mr. Norman with the offering.

Brian K. Norman is representing a major national company in the health care field in a $70 million private securities offering of multiple classes of equity ownership. Dennis M. Holmgren, and Lisa C. Bozalis are assisting Mr. Norman with the offering.

Brian K. Norman represented the Borrower in a $5.8 million loan transaction structured as a partial re-finance of approximately $11.0 million in existing debt for a major Dallas real estate development company. Lisa C. Bozalis assisted Mr. Norman with the transaction.

Brian K. Norman is representing the borrower in a $200 million structured finance transaction.  Dennis M. Holmgren and Lisa C. Bozalis are assisting Mr. Norman with the transaction

Brian K. Norman and Lisa C. Bozalis are representing a Texas investment group in a $30 million securities offering relative to a post-Katrina Mississippi gulf coast casino project.

Brian K. Norman is representing a Dallas investment group in a $5 million convertible note offering to investors in the U.K. pursuant to Regulation S.

Brian K. Norman represented a Dallas investment group in the purchase of a portfolio of SPE entities owning and maintaining (in various stages of development) eight (8) commercial multi-family low income housing projects throughout the Deep South.

Brian K. Norman represented a Dallas company relative to a $3.0 million convertible subordinated loan transaction.

SN has also successfully defended other claims pending in state court in New York. Messrs. Shamoun and Norman obtained a $1 million judgment in an intellectual property litigation matter in New York.

Brian K. Norman represented a Dallas company and its affiliates, as borrower and guarantors, relative to an $85 million limited recourse loan from affiliates of a large REIT represented by New York counsel. The client was able to enter into and deliver the operative agreements within forty (40) days of commencement of the engagement and it has completed the first round of the staged borrowing. Dennis M. Holmgren assisted Mr. Norman.

Brian K. Norman represented a national “upscale” restaurant chain relative to entering into its $9 mm commercial lease agreement for its contemplated Las Vegas location. Over the summer, Mr. Norman represented the client relative to similar transactions for Denver, Richmond, and Washington, D.C. locations.

C. Gregory Shamoun and Brian K. Norman are representing several Texas landowners with adjoining tracts in a $38 million sale to Dallas-based real estate developers. Messrs. Shamoun and Norman are being assisted by Lisa C. Bozalis.

Brian K. Norman continues to represent hedge funds and a broker/dealer relative to regulatory and operational issues. Mr. Norman is assisted in the engagement by Lisa C. Bozalis.

C. Gregory Shamoun recently completed representation of the parent company of Bulgaria's second (2nd) largest communications company in litigation against the parent company of Bulgaria's largest communications company. Mr. Shamoun's adversary dismissed the case just days before a key hearing in the matter. Mr. Shamoun was assisted by Brian K. Norman.

Brian K. Norman continues to represent banks, insurance companies, and private investors in commercial lending transactions generally sized between $3 million and $12.9 million. Mr. Norman provided representation to the lender in approximately nine (9) of these transactions in the past several months. Mr. Norman was assisted by SN's dedicated team of summer law clerks.
